Terms of Use (EULA)

1. Acceptance of Terms

By downloading, installing, accessing, or using the Kiddio mobile application, website (kiddio.fun), or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and 4our5ive Software Inc. ("Kiddio," "we," "our," or "us") regarding your use of the Platform, which includes our mobile application for iOS and Android ("App"), our website at kiddio.fun ("Website"), and all associated services, APIs, and content.

2. Description of Service

Kiddio is a platform — available as a mobile application (iOS and Android) and a website (kiddio.fun) — that helps Canadian families discover children's activities, programs, and events. We aggregate activity information from recreation providers across Canada, providing access to hundreds of thousands of activities. Our services include:

Core Features (All Users)

• Activity discovery and search with filters (age, location, price, schedule, activity type)
• Interactive map view with geocoded activity locations
• Child profile management with preferences
• Favorite activity saving (per child)
• Calendar integration with enrolled activities and custom events
• Activity watching/waitlist for availability notifications
• Push notifications for reminders and updates

Pro Features (Subscription Required)

• AI-powered personalized activity recommendations
• AI Chat assistant for conversational activity discovery
• AI Weekly Planner for optimized family schedules
• Unlimited child profiles
• Family sharing (share child profiles with other family members)
• Advanced filtering and search options
• Priority customer support

3. User Accounts

Account Creation

To access certain features of the Platform, you must create an account using a valid email address. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@kiddio.fun.

Account Termination and Suspension

You may delete your account at any time through Profile > Delete Account. We reserve the right, at our sole discretion and without prior notice or liability, to suspend, disable, or permanently terminate your account and revoke your access to the Platform for any reason, including but not limited to:

• Violation of these Terms, including intellectual property restrictions
• Fraudulent, abusive, or illegal activity
• Conduct that is harmful to other users, activity providers, or our business
• Use of the Platform for competitive intelligence or data harvesting
• Creating multiple accounts to circumvent limitations or abuse free trials
• Extended periods of inactivity (12+ months)
• Upon request by law enforcement or government agencies

Upon termination, your right to use the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes. Termination does not entitle you to any refund of subscription fees. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

Child Profiles

You may create child profiles within your account to receive personalized activity recommendations. You represent that you are the parent or legal guardian of any children for whom you create profiles, or have obtained proper consent to do so.

4. Subscriptions and Payments

Free and Pro Tiers

The Platform offers both free and paid ("Kiddio Pro") subscription tiers. Free tier users have access to basic search and filtering features with limitations on AI features. Pro subscribers have access to unlimited AI recommendations, AI Chat, Weekly Planner, and family sharing features.

Subscription Terms

• Subscriptions are available on monthly or annual billing cycles
• Payment is processed through the Platformle App Store (iOS), Google Play Store (Android), or our website billing provider (Stripe) depending on where you subscribe
• Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
• You can manage and cancel subscriptions through your app store settings (iOS/Android) or through your Profile page on the website (web subscriptions)
• No partial refunds are provided for unused portions of subscription periods

Refunds

For subscriptions purchased through the Platform, refund requests must be submitted through the Platformle App Store or Google Play Store according to their respective refund policies. For subscriptions purchased through the Website, please contact us at support@kiddio.fun for refund requests.

Free Trial

We may offer free trial periods for Kiddio Pro subscriptions. If you do not cancel before the trial ends, you will be automatically charged for the subscription at the then-current rate.

AI Usage Limits

AI-powered features (recommendations, chat, weekly planner) are subject to daily and monthly usage limits based on your subscription tier. These limits help us manage costs and ensure service availability for all users.

5. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Platform, its systems, or other users' accounts
• Interfere with or disrupt the Platform's functionality or servers
• Scrape, data mine, or extract data from the Platform without our written permission
• Create multiple accounts to circumvent usage limitations or abuse free trials
• Share your account credentials with others or allow unauthorized access
• Use automated systems, bots, or scripts to access the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Submit false, misleading, or fraudulent information
• Harass, abuse, or harm other users or activity providers
• Use the AI features to generate inappropriate, harmful, or illegal content

6. Activity Information Disclaimer

Activity details including schedules, prices, availability, locations, age requirements, and registration status are provided by third-party activity providers. This information may change without notice. We strongly recommend:

• Always verifying activity details directly with the provider before registering
• Confirming current pricing and availability
• Reviewing the provider's own terms, policies, and safety requirements
• Contacting the provider directly for any questions or special accommodations

We are not responsible for:

• Cancellations, schedule changes, or modifications made by activity providers
• Inaccurate information displayed in the Platform
• Issues with third-party activity registration or payment
• The quality, safety, or suitability of any activity
• Any injuries, damages, or losses arising from participation in activities

Registration and payment for activities are handled directly by the activity providers through their own systems, not through our Platform. When you click a registration link, you leave our Platform and interact directly with the provider.

7. AI-Powered Features

Our AI features use artificial intelligence to provide personalized recommendations, conversational assistance, and schedule planning. By using these features, you understand and agree:

• AI recommendations are suggestions based on your preferences and are not guaranteed to be suitable for your family
• AI responses may occasionally contain inaccuracies or outdated information
• You should verify all AI-provided information with the actual activity provider
• AI features are subject to usage limits based on your subscription tier
• We may modify, improve, or discontinue AI features at any time
• Your interactions with AI features may be logged for service improvement purposes

AI Data Sharing Consent

To provide personalized AI recommendations, certain information about your children (age, interests, activity preferences, location) is shared with our AI service providers (including OpenAI and Anthropic) for processing. This data is used solely to generate recommendations and is not used for model training. You may opt out of AI features at any time by not using them; no child data is shared with AI providers unless you actively use an AI feature. By using AI features, you consent to this data sharing as described in our Privacy Policy.

The AI features are designed to assist with activity discovery and are not a substitute for parental judgment regarding the safety and appropriateness of activities for your children.

8. Family Sharing, Gifts, and Referrals

Family Sharing

Pro subscribers can share child profiles with other family members. By using family sharing features:

• You represent that you have the authority to share child profile information with invited family members
• You are responsible for managing sharing permissions and can revoke access at any time
• Invited users must create their own Kiddio accounts to access shared profiles
• You can grant view-only or edit access to shared profiles
• Shared users can see child preferences, favorites, and calendar events for shared children

Gift Subscriptions

You may purchase gift subscriptions for others. Gift subscriptions are non-refundable once purchased, expire if not redeemed within one (1) year of purchase, and cannot be exchanged for cash. Gift subscriptions are for personal use only and may not be resold. We reserve the right to void gift codes obtained through fraud or violation of these Terms.

Referral Program

We may offer a referral program that allows you to invite others to use Kiddio. Referral codes are for personal, non-commercial sharing only. You may not distribute referral codes through spam, paid advertising, or automated means. We reserve the right to modify or discontinue the referral program, void referral credits obtained fraudulently, and limit the number of referrals per account.

9. Intellectual Property

Ownership

The App, website, and all related services — including their design, user interface, features, source code, object code, algorithms, data structures, databases, content, and functionality — are owned by 4our5ive Software Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Kiddio name, logo, and all related marks, slogans, and trade dress are trademarks of 4our5ive Software Inc.

Database and Data Compilation Rights

The Kiddio activity database — including our aggregated collection of activity listings, provider information, location data, pricing data, availability data, activity categorizations, age mappings, and all associated metadata — constitutes a protected compilation and database under applicable copyright and sui generis database rights. This database represents substantial investment in collection, verification, organization, and presentation of data. You may not:

• Extract, reproduce, or reutilize any substantial portion of the database contents
• Systematically or repeatedly extract or reutilize insubstantial portions of the database in a manner that conflicts with normal use or unreasonably prejudices our interests
• Create or compile, directly or indirectly, a collection, compilation, database, or directory from our data without written permission

Proprietary Technology

Our proprietary technology — including our data aggregation systems, scraping infrastructure, AI recommendation engine, activity matching algorithms, geocoding pipeline, spots availability tracking system, and all related software — constitutes valuable trade secrets and confidential information of 4our5ive Software Inc. You may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the Platform or any related services
• Copy, imitate, or replicate the functionality, features, user experience, or business model of the Platform for the purpose of creating a competing product or service
• Access, monitor, or copy any content or data from the Platform using any robot, spider, scraper, crawler, or other automated means or manual process
• Frame, mirror, or create derivative works based on the Platform or any portion thereof

Restrictions on Competitive Use

Without limiting any other provision of these Terms, you expressly agree that you will not, directly or indirectly, or through any third party:

• Use the Platform, its data, or any information obtained through the Platform to develop, enhance, or operate a product or service that competes with Kiddio
• Scrape, harvest, data mine, or extract data from the Platform or its APIs for any commercial purpose, including building or supplementing a competing database of children's activities
• Use the Platform to benchmark or conduct competitive analysis for the benefit of a competing product or service
• Solicit, recruit, or hire our employees, contractors, or data providers for the purpose of replicating our services
• Access or use the Platform on behalf of, or for the benefit of, any competitor of Kiddio

License to Use

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Platform for personal, non-commercial purposes. This license does not include the right to:

• Modify, adapt, translate, or create derivative works based on the Platform
• Copy, distribute, publicly display, or publicly perform any content from the Platform
• Use the Platform or its content for any commercial purpose without our prior written consent
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Sublicense, sell, rent, lease, transfer, or assign your rights under this license

Enforcement and Remedies

Any unauthorized use of our intellectual property, data, or proprietary technology may result in immediate termination of your account and license, and may give rise to civil and criminal liability. We reserve the right to seek injunctive relief, damages, and any other available remedies at law or in equity for any violations of this section, without the requirement of posting a bond.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including information about your children. By using the Platform, you consent to our data practices as described in the Privacy Policy.

11. Notifications and Alerts

We may send you notifications including:

• Push notifications about activity availability changes, price drops, and registration openings
• Email digests summarizing new activities matching your preferences
• Registration date reminders for activities you are watching
• Account-related communications (security, billing, Terms updates)

You can manage notification preferences in your account settings. Account-related communications cannot be opted out of while your account is active. Notification data (such as which activities you watch) is used to personalize alerts and is subject to our Privacy Policy.

12. Third-Party Services and Links

The Platform contains links to third-party websites and services, including activity provider registration pages, payment processors, and app stores. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with third-party services are governed by their own terms and policies. We do not endorse any third-party services and are not liable for any loss or damage caused by your use of them.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 4OUR5IVE SOFTWARE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, goodwill, or other intangible losses
• Service interruptions or App unavailability
• Computer damage, system failures, or data loss
• Any damages arising from your use of or inability to use the Platform
• Any damages related to third-party activities discovered through the Platform
• Reliance on AI recommendations or information provided by the Platform
• Unauthorized access to your account or data

Our total aggregate liability for any claims arising from your use of the Platform shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) fifty Canadian dollars (CAD $50).

14. Disclaimer of Warranties

THE APP AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• Any defects will be corrected
• Activity information will be accurate, complete, or current
• AI recommendations will be suitable for your family
• The App will meet your specific requirements

15. Indemnification

You agree to indemnify, defend, and hold harmless 4our5ive Software Inc. and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms, including the intellectual property and competitive use restrictions
• Your violation of any applicable law or the rights of another party
• Any content you submit or share through the Platform
• Your participation in activities discovered through the Platform
• Any unauthorized use, reproduction, or distribution of our data, content, or proprietary technology

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Website and in the App, updating the "Last Updated" date, and for significant changes, sending a notification via email or push notification.

Your continued use of the Platform after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you should discontinue use of the Platform.

17. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. This includes adding or removing features, changing subscription tiers or pricing, and modifying AI capabilities. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Vancouver, British Columbia, Canada, except that either party may seek injunctive relief in any court of competent jurisdiction. You agree to waive any right to a jury trial or to participate in a class action.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 4our5ive Software Inc. regarding your use of the Platform and supersede any prior agreements, communications, or understandings.
